Terms of Service

The terms that apply to every order placed on this site.

Last updated: October 9, 2026

These Terms of Sale ("Terms") govern your purchase of products from OverstockCabinets.com (the "Site"), operated by Overstock Cabinets LLC ("Overstock Cabinets," "we," "us," or "our"). Please read them before you place an order.

Three other documents work together with these Terms and are part of your agreement with us:

If anything in this document conflicts with the Return and Refund Policy on a cancellation, return, refund, or claims question, the Return and Refund Policy controls. If it conflicts with the Shipping Policy on a shipping or receiving question, the Shipping Policy controls.

The three things that cause almost every dispute in this business. Read these before you read anything else.

  1. Inspect your shipment while the driver is still there, and write every damage and every shortage on the delivery receipt before you sign. A clean signed receipt closes the door on a freight claim, for us and for you.
  2. Do not refuse a damaged delivery. Accept it, document it, and file a claim. Refusing costs you money and gets your replacement parts to you slower, not faster.
  3. Measurements are yours. We will help you plan a kitchen, but the sizes on the order are the sizes we build and ship.

1. Acceptance of these Terms

By placing an order, creating an account, or otherwise using the Site, you agree to these Terms. If you do not agree, do not place an order.

If you are buying on behalf of a company, partnership, or other organization, you represent that you have authority to bind that organization, and "you" means both you and that organization.

2. Eligibility and accounts

You must be at least 18 years old to place an order.

If you create an account, you are responsible for keeping your username and password confidential, and you accept responsibility for all activity that happens under your account. Tell us right away if you believe someone else is using your account.

You agree that all information you enter into the Site is true and accurate to the best of your knowledge. This includes your shipping address. You are responsible for any additional cost or fee caused by an error in the shipping information you provide, including reconsignment and redelivery charges from the carrier.

We may refuse service, remove or edit content, suspend or terminate an account, or cancel an order at our discretion.

3. Products, descriptions, and variation

We try to describe and picture our products accurately, but we do not warrant that product descriptions, photographs, dimensions, colors, or other content on the Site are complete, current, or error free.

Color and finish variation. Screens render color differently, and wood finishes vary from piece to piece.

Natural wood. Variation in color, grain, texture, mineral streaking, knots, and other growth characteristics is normal in real wood and is not a defect. Finished wood also shifts in color over time with exposure to light, humidity, and normal household conditions. A new or replacement cabinet may not match a sample or a cabinet you already have.

Painted finishes. Wood expands and contracts with the seasons. On painted product this produces hairline separation lines and visible joint lines, most often at stile, rail, panel, and miter joints, and they can become more noticeable over time. This happens on painted cabinetry from every manufacturer. It does not affect the structure or the protection the finish gives, and it is not a defect. Painted finishes, especially light colors, are also affected over time by airborne particles from cooking, grilling, tobacco smoke, fireplaces, and candles.

Hand applied finishes. Glazing and distressing are applied by hand. Thickness, darkness, and consistency vary from door to door, and glaze gathers in contours and profiles. That variation is the point of the finish, not a defect in material or workmanship.

Dimensional tolerance. Cabinet dimensions are commonly converted from metric and rounded to the nearest quarter inch. A finished dimension that differs from the published dimension by less than 1/4 inch is within normal industry tolerance and is not a defect or a basis for a claim.

Warp tolerance. The accepted tolerance for a wood door or shelf is 1/8 inch per lineal foot, measured by laying the part flat and measuring the gap. Doors also need a full heating and cooling season in your home before warp can be judged, because a hinge adjustment resolves most of what looks like warp in a new installation. The Limited Lifetime Warranty sets out the test.

Product changes. We may change product specifications, components, or finishes as suppliers change and as improvements are made. We are not obligated to make those changes to product already sold.

4. Pricing and price errors

All prices are in U.S. dollars and do not include shipping, handling, or tax unless stated at checkout. Prices are subject to change at any time before you place your order. We will not change the price of product you have already paid for and that is scheduled for delivery.

Despite our efforts, a product on the Site may occasionally be listed at an incorrect price or with incorrect information. If a product's correct price is higher than the price shown, we may cancel the order or contact you for instructions before shipping. We are not obligated to sell at an incorrect price, even after your order is confirmed and your payment method is charged. If we cancel for this reason, we will refund you in full.

If the Site suffers a technical error or a cart, pricing, or configuration fault, we may cancel the affected order at any time before it ships and refund you in full. That refund is your only remedy in that situation.

Promotional pricing, coupons, and discounts are subject to their own stated terms and may be modified or withdrawn at any time. If a discount code is applied that you did not qualify for, we will contact you to correct it, and the balance must be paid before the order can move forward.

5. Order acceptance

Your order is an offer to buy. Our confirmation email acknowledges that we received your order. It is not acceptance of your order. A contract is formed only when we ship the product or otherwise confirm acceptance to you in writing.

We may limit or cancel quantities purchased per person, per household, per payment method, per address, or per order, and we may decline or cancel any order at our discretion. That includes orders that appear to be placed for resale outside an approved trade account, orders that appear fraudulent, orders that appear designed to work around a quantity limit, and orders affected by a pricing or availability error.

Order review on large orders. A large order, or an order with an unusually high quantity of a single item, may be held for review and confirmation before we accept it. We will contact you if that happens.

Check your confirmation. When you receive your order confirmation, check every line: quantity, size, finish, hand of door, and accessories. Placing the order and checking out is your approval of that item list. Tell us about an error immediately, because what you can do about it depends entirely on how far the order has moved, as set out in the next section.

6. Cancelling or changing an order

Cancellations and changes are governed by section 2 of the Return and Refund Policy, which is the whole rule. In short: free within 24 hours of placing the order; after that, a $75 flat fee for any change or cancellation before the order is picked; a 10% processing fee to cancel once it is picked and before it is loaded on a carrier, when changes are no longer possible; and once it is loaded or has shipped, a 20% restocking and processing fee and freight both ways.

Made to order and assembled product cannot be cancelled once production or assembly has begun. Those items are built for your order specifically. Please verify them carefully before you buy. See the Shipping Policy for the full assembled cabinet terms.

Shipping charges are not refundable once an order has shipped, on a cancellation or on a return.

Stock and backorders. Availability changes quickly. If an item is out of stock we will contact you, and you can choose to wait for it, substitute a comparable item, or cancel that item for a full refund of it. A backorder normally releases only when every item on it is available, so that it ships as one shipment. If a product shown as in stock turns out to be unavailable or is discontinued by the supplier, we may need to refund that portion of your order.

7. Payment

All orders must be paid in full before they are processed. We accept the payment methods shown at checkout. We do not accept C.O.D.

By submitting payment information, you represent that you are authorized to use the payment method and you authorize us to charge the full order amount, including shipping and tax, to that method. If your payment is declined or reversed, we may cancel the order.

Payments are processed by Shopify Payments and other third party processors. We do not store full payment card numbers.

Approved trade accounts pay on the terms of their trade agreement.

Chargebacks. If something is wrong with your order, contact us first. We have a claims process and it is faster than your bank. Filing a chargeback or a stop payment instead of using that process does not remove your obligation under these Terms. A payment reversed after we have shipped is subject to a $75 handling fee, and we may recover the amount owed plus our reasonable costs of collection, including attorneys' fees, to the extent the law allows.

8. Sales tax

We charge sales tax on an order when Overstock Cabinets LLC is required to collect it in the state the order ships to.

Orders shipping to Texas are taxed, because our fulfillment operation is located in Texas. We are not physically located in any other state. In other states, we begin collecting once our sales into that state cross the threshold that state sets for an out of state seller, and we register there.

The list of states where we collect therefore changes over time, and this page does not print one. The tax charged on your order is calculated at checkout, and that figure reflects the states where we are registered to collect on the day you place the order.

Where we do not collect sales tax, you may still owe use tax to your own state on the purchase. That obligation is yours, not ours.

If you hold a valid resale or exemption certificate, submit it to hello@overstockcabinets.com before placing your order. We cannot refund tax already collected on a completed order in most cases.

9. Title and risk of loss

Title and risk of loss pass to you when we deliver the product to the carrier. From that point the shipment is yours, and the carrier is responsible for it in transit.

This is why the receiving and inspection steps in the Shipping Policy matter. Your protection against transit damage depends on the shipment being inspected and any damage being written on the delivery paperwork before the driver leaves.

10. Shipping and delivery

Shipping estimates, processing times, and transit times shown on the Site or in your confirmation are estimates only. We do not guarantee delivery dates.

We are not liable for delays caused by carriers, weather, supply chain disruption, labor conditions, or any other cause outside our reasonable control, and we are not liable for lost time, lost wages, or a missed installer appointment caused by a delivery delay.

The shipping quote generated by the Site is not guaranteed. We may adjust shipping estimates to reflect changes in freight rates, fuel costs, or accessorial charges, and we will tell you before charging more.

Split shipments. We may fill one order from more than one location and in more than one shipment, at no extra cost to you. Your tracking email lists what is in each shipment.

One delivery attempt. The shipping you pay covers one delivery attempt. If the carrier cannot complete the delivery because nobody was available, because the address is not accessible, or because no appointment was scheduled, redelivery charges and carrier storage fees are yours.

Access. The delivery address must be reachable by a full size tractor trailer unless we have agreed otherwise in advance. Limited access locations may carry an accessorial charge. Carriers classify an address as residential or commercial by zoning, so a business in a residentially zoned area is a residential delivery and is billed as one.

Boxes may carry a different finish name than the Site. Our finish names are our own and do not always match what the manufacturer prints on the carton. Do not refuse a delivery because the carton says something different from what you ordered. Check your paperwork or contact us first.

Full shipping, freight, liftgate, and accessibility terms are in the Shipping Policy.

11. Inspection, refusal, and claims

You are required to inspect your shipment at delivery. Count the pallets and cartons against your paperwork, look at every carton, and write any damage, any shortage, and any pallet count discrepancy on the delivery receipt or bill of lading before the driver leaves. Get a copy signed by both you and the driver, and take photographs at the delivery.

If a carton looks compromised but you cannot tell yet whether what is inside is damaged, write that on the delivery receipt too. Noting it is what preserves your right to file a concealed damage claim later.

A carton count is not an item count. Some items ship packed together. Signing a clean delivery receipt means you agree that everything on the order arrived undamaged, and we cannot cover a shortage or visible damage that was not written down at that moment.

Do not refuse the delivery. Accept it, document the damage, and file a claim. That is the fastest route to replacement parts, and it is the only route that lets us recover from the carrier. A refused shipment carries the 20% restocking fee and freight both ways, as set out in section 5 of the Return and Refund Policy. On made to order and assembled product, which is final sale, refusing a delivery does not release you from paying for the order.

Stop before you build. Inspect every component before you assemble, cut, or install anything. If you find damage or a defect, stop and file the claim then. Assembling or installing an item you knew was damaged is acceptance of it, and a claim on an assembled or installed item will be denied, because its original condition can no longer be verified, except for a manufacturing defect that could not reasonably be seen before that step and is claimed on time.

Replacement is at the component level. Where a claim is approved, we repair or replace the affected component rather than the whole unit where that will make you whole, and we decide what is defective and what the fix is. Cosmetic blemishes that do not affect structure or function do not earn a whole new cabinet. We may supply a comparable component where the original is unavailable. We do not pay labor to remove, fit, or reinstall anything, on a freight claim or a warranty claim.

Claim periods. Visible damage, a short shipment, or a missing carton must be noted on the delivery receipt and claimed within 5 business days after delivery; concealed damage within 30 days after delivery. The full claim periods are in section 6 of the Return and Refund Policy.

The complete inspection requirements, documentation list, and claims process are in the Shipping Policy and the Return and Refund Policy. Please read them before your delivery arrives.

12. Returns

We accept returns of regular stock on the terms in the Return and Refund Policy, which contains the complete rules and the non-returnable list. In short: request a return authorization before shipping anything; a 20% restocking fee if requested within 30 days of delivery and 35% if requested 31 to 60 days after delivery, with no returns after 60 days; unassembled and in the original unopened carton; you pay return freight and original shipping is not refunded. Markdown lots and scratch-and-dent items are final sale.

13. Warranty and disclaimer

Our products are covered by the Limited Lifetime Warranty published on the Site. That document is the complete warranty we give, and it controls on any warranty question, including its coverage, terms, and exclusions.

The headline terms, all of which are set out in full in that document:

  • Original purchaser only, non-transferable, proof of purchase required. It does not pass to a later owner of the home.
  • The remedy is repair or replacement of the defective component, at our option, including a comparable substitute where the original has been discontinued. We do not pay labor, and we do not remove, refit, or replace countertops, backsplash, flooring, plumbing, or appliances to reach a cabinet.

Except for the Limited Lifetime Warranty, and to the fullest extent permitted by law, products are sold "as is" and we disclaim all other warranties, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, and non-infringement.

Some states do not allow the exclusion of implied warranties, or limits on how long an implied warranty lasts, so this exclusion may not apply to you in full. Where implied warranties cannot be excluded, they are limited in duration to the shorter of the period provided by applicable law and the term that applies to the affected component under the Limited Lifetime Warranty.

No employee, agent, installer, designer, or reseller has authority to give a warranty beyond the Limited Lifetime Warranty, to extend a term, or to make any additional promise on our behalf, and any statement that appears to do so is not binding on us.

14. Limitation of liability

To the fullest extent permitted by law:

  • We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost time, lost wages, labor cost, installation or removal cost, cost of substitute goods, countertop or appliance cost, property damage, or loss of use, even if we were advised such damages were possible.
  • Our total liability for any claim relating to a product or order will not exceed the amount you actually paid us for that product or order.
  • Repair, replacement, or refund of the affected product, at our election, is your sole and exclusive remedy.

Some states do not allow these limitations, so parts of this section may not apply to you.

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or for death or personal injury caused by our negligence.

15. Time limit on claims

Any claim or cause of action arising out of or relating to these Terms, the Site, or a product must be brought within two years after it arises, or it is permanently barred, except where a longer period is required by law.

16. Indemnification

You agree to indemnify and hold harmless Overstock Cabinets LLC, its officers, members, employees, suppliers, and agents from any claim, loss, liability, or expense, including reasonable attorneys' fees, arising out of your breach of these Terms, your misuse of a product, your installation or modification of a product, the accuracy of measurements or plans you supplied, or your violation of any law or third party right.

17. Measurement, design, and fit

This is the most common source of disputes in this business, so it is stated plainly.

Measurements are your responsibility. You are responsible for measuring your space, for the accuracy of every dimension you give us, and for confirming that what you order will fit where you intend to install it.

Any design or layout we prepare is built on the numbers you give us. If we, or a designer working with us, produce a plan, a quote, or a cart from your measurements, that work is a convenience and depends entirely on those measurements being right. It is not a warranty that the cabinets will fit. If a dimension you supplied was wrong, the resulting order is not a defect, not a claim, and not a return.

Approving the order is approving the sizes. Ask your questions before you check out. Once you place the order, the item list is the agreement.

Third party design tools. We do not guarantee the output of any third party kitchen design software, and a discrepancy between what such a tool produced and what we ship is not a claim against us. Use the specifications published on the Site.

If a designer, contractor, or third party prepared your layout or quote, any discrepancy between that plan and your order is between you and that party. Those items are not eligible for a claim through us.

Fit through the house, not just the room. Confirm the product can physically get to where it is going. Deep pantries, tall oven cabinets, and large lazy susans are the usual problems. We are not responsible if a product cannot fit into your home, up your stairs, or around a corner.

We do not provide installation, and we do not warrant the work of any installer, contractor, or designer, whether or not they were recommended to you. Cabinets are sold as products, not as a design service.

18. Trade professional accounts

We sell to both consumers and trade professionals: builders, remodelers, contractors, designers, and similar businesses. We run a trade professional program, and trade pricing is available on an approved trade account.

Applying. You apply for a trade account through the Site. An application requires proof of an active business, and we may ask for additional documentation before we decide.

Approval. We review every application and we decide who qualifies. Trade pricing starts when your account is approved; it does not apply to orders placed before then. We may reclassify or close an account at any time, and we may change the program, including its pricing and its eligibility requirements, at any time.

Terms. Once your trade account is approved, these Terms still apply, plus any additional terms in your trade account agreement. Trade pricing is confidential. Trade pricing is not combinable with public promotions and coupons unless we say so in writing.

Trade professional returns follow the Return and Refund Policy, except that on an approved trade account we may issue an approved refund as a credit to the account instead of to the original payment method.

Buying for resale. A trade account is for purchases in the ordinary course of your business, including purchases you install for a client. Reselling our products, and in particular listing them online, requires our written approval in advance, and any approval covers only the specific channel we approved.

If you resell to your own customer, that customer is yours. You are the seller in that transaction. You are responsible for passing our ordering, delivery, inspection, claims, and warranty terms on to them accurately, and for handling their questions and claims. We deal with you, not with your customer, and we are not responsible for what you or your staff told them.

19. Intellectual property

The Site and its content, including text, graphics, photographs, product images, logos, layouts, and software, are owned by us or our licensors and are protected by intellectual property law.

You may use the Site for your own shopping and for placing orders. You may not copy, scrape, republish, resell, frame, mirror, or use our content for a commercial purpose without our written permission.

If you submit a review, photograph, or other content to the Site, you grant us a non-exclusive, worldwide, royalty free, perpetual license to use, display, and reproduce it in connection with our business, and you confirm you have the right to grant that license.

20. Governing law and venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

You agree that any lawsuit permitted under these Terms will be brought exclusively in the state or federal courts located in Harris County, Texas, and you consent to the jurisdiction of those courts.

21. Dispute resolution

Talk to us first. Before starting any formal proceeding, contact us at hello@overstockcabinets.com and give us 30 days to resolve the issue. Most problems are resolved this way.

Binding arbitration. If we cannot resolve it, you and we agree that any dispute arising out of or relating to these Terms, the Site, or any product will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. The arbitration will take place in Harris County, Texas or, at your election, by telephone, video, or on written submissions.

Class action waiver. You and we agree that claims may be brought only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding.

Small claims. Either of us may bring an individual claim in small claims court instead of arbitration, if it qualifies.

Opt out. You may opt out of this arbitration and class waiver section by emailing hello@overstockcabinets.com within 30 days of your first order, with your name, order number, and a statement that you are opting out. Opting out does not affect the rest of these Terms.

22. Force majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disaster, fire, flood, epidemic, war, civil unrest, government action, tariff or customs action, labor dispute, carrier failure, supplier failure, port congestion, component shortage, or utility or network outage.

If such an event prevents us from delivering for more than 90 days, either of us may cancel the undelivered part of the order, and we will refund what you paid for the undelivered portion.

23. Changes to these Terms

We may update these Terms at any time by posting a revised version on the Site with a new "Last updated" date. The version in effect at the time you place your order governs that order. Continuing to use the Site after a change means you accept the revised Terms.

24. Severability and waiver

If any provision of these Terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary, and the rest of these Terms will remain in full effect.

Our failure to enforce a provision is not a waiver of it.

25. Entire agreement and assignment

These Terms, together with the Return and Refund Policy, the Shipping Policy, the Limited Lifetime Warranty, and the Privacy Policy, are the entire agreement between you and us regarding your purchase, and they replace any prior understanding on the subject.

You may not assign these Terms without our written consent. We may assign them in connection with a sale or reorganization of our business.
